1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the services, products, website and any related software, documentation, interfaces, APIs, or other resources offered by VizerPay ("we", "us", "our"). By accessing or using our website or services you agree to be bound by these Terms. If you do not accept these Terms, please do not use the Services.
2. Definitions
"Customer" or "you" means any natural person or legal entity that accesses, registers for, or uses the Services.
"Services" means any product, software, hosting, payment processing, API, dashboard or related service made available by VizerPay.
3. Eligibility and Account
You must be at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account. Notify us immediately of any unauthorized use.

We will make reasonable efforts to respond to support requests within a commercially reasonable timeframe. Support for customizations or integrations may be provided for additional fees or included in subsequent releases at our discretion.
5. License & Ownership
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the licensed software and Services for your internal business purposes. All rights, title and interest in the Services, software, documentation, trademarks and related intellectual property remain the exclusive property of VizerPay or its licensors.
You may not copy, modify, distribute, resell, sublicense, reverse engineer, decompile or otherwise attempt to derive source code from the Services except as permitted by applicable law or the relevant license.
6. Payment, Fees, Taxes and Invoicing
6.1 Payment. You agree to pay all fees and charges for Services in accordance with the pricing and payment terms you select at the time of purchase. Fees may be charged to the payment method you provide.
6.2 Invoices. We may issue invoices for services. All fees are payable in the currency indicated on the invoice unless otherwise agreed.
6.3 Taxes. All amounts payable under these Terms are exclusive of taxes. You are responsible for all taxes, duties, or governmental charges (including VAT or sales tax) imposed in connection with your use of the Services, except taxes based on VizerPay’s net income. If VizerPay is required by law to collect any local VAT or similar tax, such tax will be added to the invoice and paid by you.
6.4 Refunds. Our refund policy for each product or service will be clearly stated in the product documentation or at the point of sale. Unless otherwise stated in writing, refunds may be granted at our discretion and may be subject to verification and administrative processing. 6.5 Chargebacks and disputes. If you initiate a chargeback with your payment provider without first contacting us, we reserve the right to suspend or terminate your account pending investigation. Repeated chargebacks may result in permanent termination.
7. Use Restrictions and Acceptable Use
You shall not use the Services for illegal, fraudulent, infringing or abusive purposes. Prohibited activities include (but are not limited to):
Anything that violates applicable laws or third-party rights (copyright, privacy, trademark).
Distribution of malware, phishing, or unsolicited bulk messages.
Hosting or distributing child sexual abuse material, extremist or terrorist content, or material encouraging violent or unlawful acts.
We reserve the right to investigate suspected violations and to take any action we deem appropriate, including suspension or termination of accounts and disclosure to law enforcement.
8. Security
We implement commercially reasonable security measures to protect the Services and customer data. However, no internet transmission or storage can be guaranteed to be completely secure. You are responsible for safeguarding your account credentials and implementing appropriate security measures on your side.
9. Warranties and Disclaimers
Except where prohibited by law, the Services are provided “AS IS” and “AS AVAILABLE.” VizerPay expressly disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will VizerPay, its officers, directors, employees or agents be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including but not limited to loss of profits, data loss, business interruption or loss of goodwill, arising out of or relating to the Services, even if advised of the possibility of such damages.
Our aggregate liability for any claim arising from or related to these Terms shall not exceed the total amounts paid by you to VizerPay under the relevant order during the twelve (12) months preceding the claim.
11. Termination
Either party may terminate or suspend access to the Services for cause if the other party materially breaches these Terms and fails to cure within thirty (30) days after written notice. We may also suspend or terminate accounts immediately for reasons of fraud, abuse, or security threats.
12. Data Protection & Privacy
We process personal data in accordance with our Privacy Policy. By using the Services you consent to the collection and use of information as described in our Privacy Policy. If you process personal data of others using our Services, you shall comply with applicable data protection laws.
13. Regulatory Compliance and Tax Registration
You represent and warrant that you will comply with any local or international laws applicable to your use of the Services. If you operate as a business in Iraq, you are responsible for obtaining and maintaining any necessary business registrations, tax registrations (e.g., VAT), licenses and permits required by Iraqi law. VizerPay may request proof of business registration or taxation documents for compliance purposes.
14. Modifications to Terms
We may update or modify these Terms from time to time. If material changes are made, we will post a notice on our website and / or notify users by email. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Iraq. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in [Baghdad, Iraq] or a mutually agreed dispute resolution mechanism.
